Terms of Service

1. Acceptance of These Terms
These Terms of Service (“Terms”) govern your use of the website and the AI-powered operations platform and related services (together, the “Services”) provided by Lexicon AI, Inc. (“Lexicon”, “we”, “us”, or “our”). By using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you agree to these Terms for that organization and confirm that you have authority to do so. If you do not agree, do not use the Services.
2. Customer Agreements
If your organization has signed a separate agreement with Lexicon, such as a master services agreement or order form (a “Customer Agreement”), that agreement governs your organization’s use of the Services, including fees, data handling, and service commitments. If these Terms conflict with a Customer Agreement, the Customer Agreement controls. A customer-hosted deployment of the Lexicon software is governed by the applicable Customer Agreement.
3. Privacy
Our Privacy Policy describes how we collect and use personal information.
4. Accounts
The Services are for business use by individuals at least 18 years old. Your organization may create and manage your account and may suspend or remove your access. Keep your login credentials secure and do not share them. You are responsible for activity under your account. Tell us promptly at team@trylexicon.com if you suspect unauthorized access.
5. Acceptable Use
You will not, and will not permit anyone else to:
- use the Services in violation of any law, regulation, or third-party right;
- submit data you do not have the right to use, or that contains malicious code;
- access or attempt to access systems, accounts, or data without authorization;
- bypass or interfere with the security, integrity, or performance of the Services;
- copy, modify, reverse engineer, or create derivative works of the Services, except as the law permits;
- resell, sublicense, or provide the Services to third parties, unless a Customer Agreement permits it;
- scrape the Services or access them through automated means we have not authorized; or
- use the Services to build a competing product or service.
6. Customer Data
As between you and Lexicon, your organization owns the data, documents, and other content it submits to or connects to the Services (“Customer Data”). Your organization grants Lexicon a limited license to host, process, and use Customer Data only to provide, secure, and support the Services. Your organization is responsible for having all rights, consents, and authorizations needed to submit Customer Data and to connect its systems to the Services. We do not use Customer Data to train AI models.
7. AI Output
The Services use AI to produce summaries, findings, and recommendations (“Output”). Output can be inaccurate or incomplete. You are responsible for reviewing Output before you rely on it, and for any action you take based on it. Output is not financial, investment, legal, accounting, or tax advice.
8. Intellectual Property
Lexicon and its licensors own the Services, including all software, models, documentation, and trademarks. Subject to these Terms and any Customer Agreement, we grant you a limited, non-exclusive, non-transferable right to use the Services for your organization’s internal business purposes. We reserve all rights not expressly granted. If you give us feedback or suggestions, we may use them without restriction or obligation to you.
9. Third-Party Services
The Services may connect to or link to third-party systems and websites. We are not responsible for them, and your use of them is subject to their own terms.
10. Changes to the Services
We may update, change, or discontinue features of the Services. We will not materially reduce the functionality of paid Services during a subscription term, except as a Customer Agreement permits.
11. Suspension and Termination
We may suspend or end your access if you breach these Terms, if your organization’s Customer Agreement ends, or if needed to protect the Services, other users, or third parties. You may stop using the Services at any time. Sections 6 through 8 and 12 through 16 survive termination.
12. Disclaimers
EXCEPT AS EXPRESSLY STATED IN A CUSTOMER AGREEMENT, THE SERVICES AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, LEXICON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES OR OUTPUT WILL BE ACCURATE, COMPLETE, UNINTERRUPTED, OR ERROR-FREE.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LEXICON WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LEXICON’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID TO LEXICON FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100. IF A CUSTOMER AGREEMENT SETS A DIFFERENT LIMITATION, THAT LIMITATION APPLIES INSTEAD.
14. Indemnification
You will indemnify and hold harmless Lexicon and its officers, employees, and agents from any third-party claims, losses, and expenses, including reasonable attorneys’ fees, arising from your breach of these Terms, your misuse of the Services, or Customer Data you submit, except as a Customer Agreement provides otherwise.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. The state and federal courts located in San Francisco County, California have exclusive jurisdiction over any dispute arising from these Terms or the Services, and you consent to their jurisdiction.
16. General
These Terms, together with any Customer Agreement, are the entire agreement between you and Lexicon about the Services. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
17. Changes to These Terms
We may update these Terms from time to time. We will change the “Last updated” date above and, for material changes, notify you by email or through the Services. If you continue to use the Services after changes take effect, you accept the updated Terms.
